M&A advisory and capital raising
We run the financial side of a transaction in the owner’s interest: model and valuation, due diligence, negotiating position, coordination of lawyers and auditors. The terms are checked and understood before anything is signed.

Transactions we support
Company transactions
Buying or selling a business or a stake, bringing in an investor, joint ventures.
Capital raising
Equity or debt: financial model, investor presentation, positioning and talks with investors and banks.
Commercial deals
Large supply contracts with foreign partners: contract economics, payment terms, risks and negotiations.
What we do at each stage
- AnalysisWe study the business, the owner’s goals and the deal options: what is being bought or sold and on what terms it makes sense.
- ModelWe build the financial model and a valuation range. Price, payment structure and the limits of negotiation depend on it.
- MaterialsWe prepare the presentation and information memorandum for the other side, or carry out due diligence on the target.
- NegotiationsWe shape the position in numbers, prepare the term sheet and negotiate in person.
- ClosingWe coordinate lawyers and auditors through to signing and settlement.
Buy-side support
A buyer needs to avoid overpaying and inheriting someone else’s problems. We carry out financial due diligence, review the seller’s model, calculate the price at which the deal pays back, and translate the risks found into contract terms: price adjustments, deferred payments, seller warranties.
Sell-side support
A seller needs to present the company so that the buyer trusts the numbers. We put reporting and the model in order, prepare materials and the data room, and negotiate price and terms on the owner’s side.
Who we coordinate
A transaction involves lawyers, auditors, valuers and tax advisers. Each does their part, and none of them answers to the owner for the deal as a whole.
We work on the owner’s side: we brief the advisers, review their output, keep to the timetable and bring their findings into one picture on which a decision can be made.
Terms
A monthly retainer plus a success fee on closing. Before we start, we scope the work and send a proposal with scope, stages and budget. One-off tasks, such as attending a round of negotiations, are billed at an hourly or daily rate.
We do not guarantee that a deal will close or that capital will be raised: that decision rests with the counterparty, investor or bank. We are responsible for the quality of preparation and for making sure you understand the terms before signing.
Example
An owner receives an offer from a strategic investor for 60% of the company. The owner needs to understand whether the price is fair, what the deferred payment and the option over the remaining stake really mean, and to respond with a counter-offer within three weeks.

When should we bring you in?
The earlier the better: before the first conversation about price. Once a number has been named, moving it is far harder than justifying it from the start.
Do you replace lawyers?
No. We are responsible for the financial and commercial terms: price, payment structure, adjustments, warranties in numbers. The final legal drafting is done by the client’s lawyers or our partners.
